End User License Agreement (EULA)

1. Introduction

This End User License Agreement (“Agreement”) governs your use of kazpa’s proprietary trading software and tools, including but not limited to VistaONE, VistaX, VistaSUITE, and any related dashboards, scripts, or interfaces (collectively, the “Software”).

By activating or using the Software, you (“User”) agree to be bound by this Agreement. If you do not agree, you may not install, access, or use the Software.

2. License Grant

kazpa grants you a limited, non-exclusive, non-transferable, revocable license to use the Software solely for personal use in your own trading account(s), subject to the terms of this Agreement.

You acknowledge that you are obtaining a license to use the Software — not ownership of it. All rights, title, and interest remain the property of kazpa.

3. License Restrictions

• You may not copy, distribute, sell, or sublicense the Software.
• You may not modify, reverse-engineer, decompile, or attempt to derive the source code.
• You may not share your license key, account, or access credentials with others.
• You may not use the Software for commercial purposes or on behalf of others without written authorization from kazpa.
• You may not bypass or alter any software protection or verification mechanisms.

4. Ownership & Intellectual Property

All intellectual property rights in and to the Software, including algorithms, dashboards, user interfaces, and documentation, are owned exclusively by kazpa. The Software is protected by copyright, trademark, and trade secret laws.

5. Software Use & Risk Disclaimer

The Software is a tool intended for educational and analytical use only. It does not guarantee profits or specific trading outcomes. All trading carries risk, and you acknowledge that past performance does not indicate future results.

kazpa does not manage client funds or execute trades. Users retain full control over their trading accounts and assume all responsibility for the results of their use of the Software.

6. License Activation & Verification

Each Software license is issued per user and tied to the verified trading account(s) provided during onboarding. kazpa reserves the right to verify license status and deactivate access for any violation of this Agreement or unauthorized use.

7. Updates & Support

kazpa may periodically update or modify the Software to improve functionality, security, or compatibility. Such updates may occur automatically or require user action. Support is provided only to users with active licenses in good standing.

8. Termination

kazpa reserves the right to suspend or terminate your license at any time, with or without notice, for violations of this Agreement, fraudulent activity, or misuse of the Software. Upon termination, you must immediately cease all use of the Software and delete any copies.

9. No Investment or Financial Advice

The Software does not constitute investment advice, financial advice, or trading recommendations. All trade decisions are made solely by the user. kazpa and its affiliates are not registered financial advisors or brokers and do not manage or handle client funds.

10. Limitation of Liability

kazpa is not liable for any direct, indirect, incidental, consequential, or special damages arising from your use or inability to use the Software, including but not limited to financial losses, system failures, or third-party service issues.

Use of the Software is entirely at your own risk. You agree to hold kazpa harmless from any claims, losses, or damages related to your use of the Software.

11. Data & Privacy

Use of the Software is also subject to our Privacy Policy. By using the Software, you consent to the collection and limited use of technical or performance data as outlined in that policy.

12. Governing Law

This Agreement is governed by the laws of the State of Florida, USA, without regard to conflict of law principles. Any disputes shall be resolved exclusively through binding arbitration in Miami, Florida.
