By accessing, purchasing, licensing, or using any part of the Services, you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you must not access or use the Services.

1. Scope & Acceptance

These Terms apply to all visitors, members, license holders, and users of kazpa.io, its subdomains, software systems, documentation, tools, and related products (collectively, the “Services”). By creating an account, completing a license activation form, purchasing a license, or using our software, you confirm your acceptance of these Terms.

2. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into a binding agreement. By using the Services, you represent and warrant that you meet these requirements.

3. Modifications to Terms

kazpa reserves the right to modify or update these Terms at any time. Updates will be posted on this page with a revised “Last Updated” date. Continued use of the Services after any changes constitutes acceptance of the revised Terms.

4. Privacy & Data

Your use of the Services is also governed by our Privacy Policy, which explains how we collect, store, and process personal information.

5. No Financial Advice / No Advisory Relationship

kazpa provides software tools and educational materials only. We are not registered financial advisors, brokers, dealers, fiduciaries, or investment managers. Nothing within the Services constitutes financial, investment, legal, or tax advice. No advisory, managed account, or fiduciary relationship is created.

6. Risk Disclosure

Trading forex, CFDs, commodities, indices, or cryptocurrencies involves significant risk and may not be suitable for all individuals. You may lose some or all of your capital. Past performance, backtests, examples, or testimonials are not indicative of future results. You are solely responsible for all trading decisions and outcomes.

7. Software License Grant

Upon purchase or activation, you are granted a non-exclusive, non-transferable, revocable, limited license to use kazpa software (including VistaX, VistaONE, and VistaSUITE) solely for your personal trading account. You may not resell, sublicense, distribute, share, reverse engineer, modify, or copy the software. All intellectual property rights remain the exclusive property of kazpa.

8. Software Disclaimer & Availability (AS IS)

The Services and software are provided on an “AS IS” and “AS AVAILABLE” basis. kazpa does not guarantee uninterrupted operation, error-free performance, or compatibility with all brokers, VPS providers, or platforms. We are not responsible for losses caused by software errors, platform outages, broker execution issues, VPS failures, connectivity problems, market volatility, or news events.

9. User Responsibilities

• Use the Services only for lawful purposes
• Maintain the security of your login and license credentials
• Select and manage your own lot size, leverage, and risk
• Monitor your trading account at all times while the software is running
• Disable trading if market conditions or account circumstances change

10. Brokers, VPS & Third-Party Services

kazpa is not affiliated with, does not control, and does not endorse any broker, VPS provider, liquidity provider, or third-party platform. All execution, pricing, spreads, slippage, and order handling are determined by your chosen broker and infrastructure.

11. Payments, Refunds & Chargebacks

All payments are final. Once a license has been issued or activated, no refunds, cancellations, or chargebacks are permitted. Initiating a chargeback or payment dispute after activation constitutes a violation of these Terms and may result in immediate license termination without refund.

12. Termination & License Enforcement

kazpa may suspend or terminate access or licenses, without refund, for violations including but not limited to chargebacks, license sharing, misuse of the software, submission of false information, or breach of these Terms. Upon termination, all rights to use the Services immediately cease.

13. Performance Disclaimer

Any examples, simulations, or testimonials are provided for illustrative purposes only and do not guarantee future performance. Results vary based on account size, risk settings, broker execution, and market conditions.

14. Limitation of Liability

To the maximum extent permitted by law, kazpa shall not be liable for any indirect, incidental, special, or consequential damages, including loss of trading capital, profits, data, or use. Our total liability shall not exceed the amount paid by you in the preceding 12 months.

15. Indemnification

You agree to indemnify and hold harmless kazpa and its affiliates from any claims, losses, damages, or liabilities arising from your use or misuse of the Services or violation of these Terms.

16. Intellectual Property

All software, content, branding, logos, documentation, and proprietary materials are owned by kazpa and protected under applicable intellectual property laws. Unauthorized use is prohibited.

17. Third-Party Links

The Services may contain links to third-party websites or platforms. kazpa is not responsible for their content, services, or practices.

18. Governing Law & Arbitration

These Terms are governed by the laws of the State of Florida, United States. Any dispute shall be resolved exclusively through binding arbitration in Miami, Florida, under the rules of the American Arbitration Association. You waive any right to a jury trial or class action.

19. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

20. Entire Agreement

These Terms, together with the Privacy Policy, License Activation Form, and related disclosures, constitute the entire agreement between you and kazpa.
